1. Our Agreement
By using our website or hiring Vips Media (“we,” “us,” “our”), you (“you,” “the Client”) agree to these simple terms. If you’re agreeing for a company, you confirm you have the authority to do so.
2. What We Do
We provide marketing and business automation services (the “Services”), like building AI chatbots, setting up workflows between your tools (like WhatsApp, CRM, email), and creating lead generation systems. The exact details, timeline, and price for your project will be outlined in a separate proposal or scope of work.
3. Your Responsibilities
To help us do our job, you agree to:

Provide us with the information, access (like to your website or Meta Business account), and approvals we need in a timely manner.

Ensure any content or data you give us is yours to use and doesn’t break any laws.

Appoint one main contact person to give us feedback and decisions.
4. Payment Terms

Fees will be as quoted in your project proposal.

We typically require a 50% non-refundable deposit to start work, with the remaining 50% due upon completion before final delivery.

Invoices are to be paid within 7 days. Late payments may result in a pause in work.
5. Changes to a Project
If you request changes that are outside our original agreed scope, this may affect the project timeline and cost. We’ll provide a new quote for any additional work before proceeding.
6. Who Owns What

You own your pre-existing logos, brand materials, and customer data.

Once you have paid in full, you own the final custom automation workflows, chatbot scripts, or configurations we built specifically for you.

We own our proprietary methods, tools, and templates. We also retain the right to showcase the work we did for you in our portfolio (unless we’ve agreed otherwise in writing).
7. Our Liability
We strive to provide excellent service. However, to the fullest extent permitted by law, our total liability to you for any claim will be limited to the amount you paid for the specific services in question. We are not liable for any indirect or consequential losses.
8. How We End an Agreement
Either of us may end a project if the other seriously breaks these terms and doesn’t fix the issue within 14 days of being asked in writing. If a project ends early, you must pay us for all work completed up to that point.
9. Governing Law
These terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts in Raipur, Chhattisgarh , India .
